These Terms and Conditions ("Agreement") are entered into between Ceiling Supply Company Ltd, registered in England 14839589, Unit 16 Spring Road Industrial Estate, Lanesfield Drive, Wolverhampton, WV4 6UA ("Ceiling Supply Company," "we," "us," or "our") and the customer ("Customer," "you," or "your") who makes purchases from us. By placing an order with us, you agree to be bound by the terms and conditions set forth in this Agreement.
Orders and Delivery
1.1. Order Placement: Orders can be placed via email, phone, or through our website. Each order constitutes an offer to purchase Products in accordance with this Agreement.
1.2. Acceptance: All orders are subject to acceptance by Ceiling Supply Company. We reserve the right to accept or reject any order at our sole discretion.
1.3. Delivery: Ceiling Supply Supply will make reasonable efforts to deliver the Products within the agreed-upon timeframe. However, delivery dates are estimates and are subject to change. Ceiling Supply Company will not be liable for any delays or failure to deliver caused by factors beyond our control.
Pricing and Payment
2.1. Pricing: The prices for the Products are as stated in our current price list or as otherwise agreed upon in writing between Ceiling Supply Company and the Customer. All prices are exclusive of value-added tax (VAT) or any other applicable taxes unless specified otherwise.
2.2. Payment Terms: Payment for Products is due at the point of placing your order, unless otherwise agreed upon in writing. Ceiling Supply Company reserves the right to suspend deliveries or cancel orders if payment is not received within the specified timeframe.
Returns
3.1. Returns: If you are a business, you have a right to change your mind and return the Products 7 working days after you receive delivery. You must only return Products to us with our prior written authorisation. Unauthorised returns will not be accepted.
3.2. Restocking Charge: All authorised returns are subject to a restocking charge of 30% of the invoiced price. The restocking charge will be deducted from the refund issued to the Customer.
3.3. Condition of Returned Products: Returned Products must be in their original condition, unopened, and in their original packaging. Any returned Products that are damaged or not in a resalable condition may be subject to additional charges or may not be eligible for a refund.
Limitation of Liability
4.1. Indirect Damages: Ceiling Supply Company will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or performance of the Products, even if advised of the possibility of such damages.
4.2. Limitation of Liability: In no event shall Ceiling Supply Company's liability for any claim, whether in contract, tort, or otherwise, exceed the invoiced price paid by the Customer for the specific Products giving rise to the claim.
Governing Law and Jurisdiction
5.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
5.2. Jurisdiction: Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Miscellaneous
6.1. Entire Agreement: This Agreement constitutes the entire agreement between Ceiling Supply Company and the Customer with respect to the purchase of the Products and supersedes all prior agreements, understandings, or representations.
6.2. Amendments: No amendment or modification of this Agreement shall be valid unless it is in writing and signed by both parties.
6.3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By placing an order with Ceiling Supply Company, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
